Terms of Service

01Acceptance of Terms

By accessing or using FinOpsAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

If you purchase the Service through Google Cloud Marketplace, the Google Cloud Marketplace terms also govern the purchase, billing and cancellation of your subscription; these Terms govern your use of the Service itself. If you do not agree to these Terms, do not use the Service.

02Description of Service

FinOpsAI is a B2B SaaS platform that provides:

• Ingestion of your cloud billing exports — Google Cloud billing export, AWS FOCUS data export, Azure cost export — normalised to the FOCUS specification
• Cost anomaly detection using statistical analysis of your billing history
• AI-assisted root cause analysis and recommendations via Google Vertex AI (Gemini, asia-south1), grounded in your billing data
• Commitment analytics (coverage, utilization, unused commitment) and savings reporting, including issued reports carrying a SHA-256 you can verify
• Human-in-the-loop governance: every approval, rejection, report issuance and download is recorded in your workspace's audit log
• Multi-tenant architecture with per-workspace data isolation

03Subscription Plans and Billing

FinOpsAI offers the following plans. A 14-day free trial provides the Starter experience. Prices are listed in USD for Google Cloud Marketplace and in INR (exclusive of GST) for direct subscriptions; annual billing is twelve times the monthly price.

• Direct subscriptions are billed in advance through Razorpay; Marketplace subscriptions are billed by Google Cloud under the Marketplace terms and appear on your Google Cloud invoice
• You may cancel at any time; cancellation takes effect at the end of the current billing period and no refund is made for the unused part of a period. Refunds for erroneous charges and billing disputes are handled under our Refund and Cancellation Policy
• Price changes are notified at least 30 days in advance and apply from your next billing period
• Plan limits (projects, users, AI queries, billing history) are enforced by the Service; usage beyond a limit requires an upgrade or add-on

04Your Responsibilities

By using FinOpsAI, you agree to:

• Connect only cloud accounts and billing exports you are authorized to access, with the read-only permissions the Service documents
• Grant access only through the read-only mechanisms the Service documents — an IAM grant to the FinOpsAI reader service account on your Google Cloud billing-export dataset, a cross-account IAM role for your AWS export bucket, or a federated credential for your Azure export storage — and keep each grant at the minimum permissions documented. FinOpsAI does not accept, store or ask for your cloud account keys, passwords or secrets
• Remove those grants, roles and federated credentials from your cloud environment when you stop using the Service. The deletion described in Section 07 removes your data from our systems; it cannot remove our access from yours
• Ensure your use of FinOpsAI complies with your organization's security and procurement policies
• Review every recommendation before acting on it, and test changes in non-production environments first
• Keep your login credentials secure and confidential, and notify us immediately of any unauthorized access
• Comply with all laws and regulations that apply to you and to the data you connect to the Service; compliance with those obligations remains your responsibility

05Shared Responsibility and No Compliance Claims

• You are responsible for your regulatory, contractual and audit obligations, including any retention period the law imposes on you for your own records; the Service's retention periods (Section 06) are product terms, not a substitute for your record-keeping
• For any personal data held within your cloud estate you are the Data Fiduciary. Your cloud security configuration, identity and access management, and data governance remain your responsibility; FinOpsAI reads billing exports and does not assess or manage them
• We are responsible for operating the Service as described here and in our Privacy Policy: keeping your data in the stated region, isolating it from other customers, protecting access to it, and deleting it when these Terms say we will
• Where we process personal data of your users on your behalf (account and login information), we act on your instructions as described in the Privacy Policy and delete it on termination as set out in Section 06

06Data Ownership and Retention

• Your raw billing exports remain in your own cloud accounts; the Service stores derived billing summaries, anomaly records, recommendations, your audit log and the reports you issue, in the asia-south1 (Mumbai) region
• Billing history retained: 30 days (Starter), 90 days (Business), 365 days (Enterprise)
• Issued report files retained: 12 months on Starter and Business; 7 years on Enterprise unless your contract sets a different period. The record that a report was issued, with its SHA-256, is kept with your audit log
• Your audit log is kept for the life of your subscription
• You may request an export of your data at any time by writing to finops@samsofttechnologies.com

07Term, Termination and Deletion

• Your subscription continues until cancelled by you, or terminated by us for non-payment or material breach of these Terms after notice
• When a trial lapses without conversion, or a subscription is cancelled or terminated, your workspace enters a 30-day grace period: access is suspended, your data is preserved, and you may reactivate with everything intact or request an export of your data and issued reports by writing to finops@samsofttechnologies.com. During the grace period this 30-day window replaces the plan retention periods in Section 06
• At the end of the grace period all workspace data — configuration, ingested billing rows and billing summaries, anomaly records, AI queries, issued report files and audit log — is permanently deleted, and a deletion record is kept by us as evidence that the deletion occurred. Enterprise contracts may specify a longer grace period
• Deletion is irreversible. Nothing in this section limits our right to retain our own invoices and tax records as the law requires of us

08AI and Recommendation Disclaimer

• Analysis may occasionally be incomplete or incorrect; figures are derived from your billing exports and are only as complete as those exports
• Figures marked as modelled — TCO, sizing, migration and commitment scenarios — rest on assumptions and inputs you supply and change when those inputs change. They are not quotes, forecasts or offers by us or by any cloud provider
• FinOpsAI does not execute changes in your cloud accounts. Any command, configuration change or purchase it describes is carried out by you, after your own review and approval, and we are not liable for the cost, downtime or other consequences of changes you make
• Where a figure cannot be derived from your data, the Service states that it is unavailable and why, rather than estimating it
• FinOpsAI does not guarantee specific cost savings amounts
• Your cloud provider's invoice and billing console are the record of what you were charged. Where a FinOpsAI figure and your invoice differ, the invoice governs; verify material findings there before acting

09Service Availability

• We target 99.5% monthly uptime for paid plans; scheduled maintenance is announced at least 24 hours in advance
• Enterprise customers receive a formal SLA under their contract
• We are not liable for unavailability caused by third-party services (Google Cloud, Firebase, your cloud providers' billing exports)

10Prohibited Uses

You may not use FinOpsAI to:

• Access cloud accounts or billing data you are not authorized to view
• Attempt to reverse engineer or extract our models, price data or algorithms
• Use the Service for any illegal purpose
• Resell or sublicense access to the Service without written consent
• Conduct automated attacks, scraping, or abuse of our API rate limits
• Circumvent any security or authentication measures

11Limitation of Liability

To the maximum extent permitted by law, SAMSOFT AI TECHNOLOGIES PRIVATE LIMITED shall not be liable for:

• Any indirect, incidental, or consequential damages arising from use of the Service
• Changes you make to your cloud estate, whether or not based on a recommendation from the Service
• Any regulatory finding, penalty or audit outcome relating to your obligations (Section 05)
• Third-party service outages (Google Cloud, Firebase, your cloud providers)

Our total liability to you for any claims shall not exceed the amount paid by you for the Service in the 3 months preceding the claim.

12Intellectual Property

• FinOpsAI — its software, methods, report formats, price books and content — is the intellectual property of SAMSOFT AI TECHNOLOGIES PRIVATE LIMITED. You receive a non-exclusive, non-transferable right to use the Service for your own organisation during your subscription; you may not copy, modify, distribute or create derivative works from it without our written permission
• Your billing data, the derived summaries and the reports issued from your workspace remain yours (Section 06). You may share issued reports with your auditors, regulators and advisers; the notices printed on them must remain intact
• Feedback you give us about the Service may be used by us to improve it without obligation to you

13Changes to These Terms

• We may update these Terms. Material changes are notified by email to your workspace owner and in the app at least 30 days before they take effect; the effective date and version at the top of this page identify the Terms in force
• Continued use of the Service after the effective date constitutes acceptance. If you do not accept a change you may cancel before it takes effect and Section 07 applies
• Reports issued before a change remain subject to the Terms in force when they were issued

14Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.
